Terms of Service

These Terms of Service ("Terms") form an agreement between you and ProdoTracker governing your access to and use of the ProdoTracker website and application (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

You must be at least 13 years old to use ProdoTracker. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements and that you have the legal capacity to enter into these Terms.

• You must provide accurate account information (name, username, email) when signing up, and keep it up to date.
• You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
• You must notify us promptly at the contact address in Section 16 if you suspect unauthorized use of your account.
• You may not share your account with others or transfer your account to another person.

When using ProdoTracker, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to other accounts, our systems, or our infrastructure
• Interfere with or disrupt the integrity, security, or performance of the Service
• Upload malicious code, or probe, scan, or attempt to reverse engineer the application
• Use automated means to access or scrape the Service without our prior written consent
• Use the Service to store or transmit content that is illegal, abusive, or that infringes on others' rights

We may suspend or terminate accounts that violate this section, as described in Section 9.

You retain all ownership rights in the task titles, descriptions, and other material you submit to ProdoTracker ("User Content"). We do not claim ownership of your User Content.

By submitting User Content, you grant ProdoTracker a limited, non exclusive, worldwide license to host, store, reproduce, and display that content solely as necessary to operate and provide the Service to you, including generating the automated scheduling features described in Section 7. This license ends when you delete the content or close your account, except where limited retention is necessary for legal, security, or backup purposes as described in our Privacy Policy.

You are solely responsible for your User Content and for having the rights necessary to submit it.

The Service, including its software, design, algorithms, branding, and all related intellectual property (excluding your User Content), is the exclusive property of ProdoTracker and its licensors and is protected by applicable intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, nothing in these Terms grants you any right, title, or interest in ProdoTracker's intellectual property, and ProdoTracker's underlying source code is proprietary and is not licensed to you under an open source license.

ProdoTracker currently offers free tier access to the Service. Paid plans described on our pricing page are not yet billed while ProdoTracker is in beta. If and when paid subscriptions are activated, additional billing terms, including price, billing frequency, and cancellation terms, will be presented to you before you are charged, and your continued use after subscribing will constitute acceptance of those terms.

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or, during this beta stage, if we discontinue or materially change the Service, in which case we will provide notice where practical.

Upon termination, your right to use the Service ends immediately. Your data will be handled according to the retention and deletion terms described in our Privacy Policy. Sections of these Terms that by their nature should survive termination, including ownership, disclaimers, limitation of liability, indemnification, and governing law, will survive.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT. AS A BETA PRODUCT, PRODOTRACKER MAY CONTAIN BUGS, EXPERIENCE DOWNTIME, OR LOSE DATA, AND WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE, OR THAT ITS AUTOMATED SCHEDULING SUGGESTIONS WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODOTRACKER AND ITS FOUNDERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODOTRACKER'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID PRODOTRACKER IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR 50 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify and hold harmless ProdoTracker, its founders, employees, and affiliates from any claims, damages, liabilities, and reasonable expenses (including attorney fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

ProdoTracker is a Canadian company. These Terms are governed by the laws of Canada and the laws of the province in which ProdoTracker maintains its principal place of business, without regard to conflict of laws principles. Before filing a claim, you agree to first contact us at the address in Section 16 and attempt to resolve the dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of that province.

• Entire agreement: these Terms and our Privacy Policy make up the entire agreement between you and ProdoTracker regarding the Service, and supersede any prior agreements on the subject.
• Severability: if any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
• No waiver: our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment: we may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our consent.

Because ProdoTracker is in active beta development, these Terms may change as the Service evolves. We will update the "Last updated" date above and, for material changes, provide additional notice such as an in app notification or email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
